Event Term & Condition


These terms and conditions for registration and attendance at the Event organized by Technology Counter Private Limited (“Event Terms") are binding without qualification or exception, on all persons registered to attend or actually in attendance at our Events (“Registrant,” “you”).

ACCEPTANCE OF EVENT TERMS

By registering for or attending the Event, each Registrant agrees to the following:

Binding Agreement: You are bound by and shall be deemed to have accepted these Event Terms, which you have read and understood.

Onsite Instructions: You are required to review and fully comply with all posted instructions onsite at the Event, which may be updated from time to time in Technology Counter Private Limited’s sole discretion.

Employer Consent: You have obtained the consent of your employer, to the extent your employer may require such consent, prior to registering for the Event and becoming bound by these Event Terms.

DISAGREEMENT OR LACK OF AUTHORIZATION

If you are not authorized or do not agree to any of these Event Terms, please be aware that:

You may not enter, view, or make use of this website for the Event (“Website”).

You may not register for or otherwise attend the Event.

These Event Terms are essential to ensuring a harmonious and organized event experience for all attendees. Please make sure to carefully read and understand them before proceeding with registration and attendance at our event.

Privacy and Data Sharing

By using the Website, submitting the registration form for the Event, participating in specific Event activities, or otherwise attending the Event, the Registrant consents to having his/her personal data collected, used, transferred to, and processed in accordance with the terms of our Privacy Policy. This includes the collection of data necessary for event registration, communication, and coordination with event partners and sponsors. Please review our Privacy Policy for comprehensive details on how we handle your personal information and data. Your participation in the Event implies your acknowledgment and acceptance of our data handling practices as outlined in our Privacy Policy.

LIMITATION OF LIABILITY

Under No Circumstances, Including, But Not Limited To, Negligence, Breach Of Contract, Or Breach Of Any Statutory Or Other Duty Of Care, Shall Technology Counter Private Limited Or Its Affiliates Be Liable To A Registrant Or Any Other Person Or Entity Associated With The Registrant For Any Indirect, Special, Incidental, Punitive, Exemplary, Or Consequential Damages, Including, Without Limitation, Loss Of Data, Revenue, Or Profit, Arising Out Of These Event Terms Or The Use Or Inability To Access Or Use The Website, Applications, Event, Or Any Other Materials, Including, Without Limitation, Third-Party Materials, Products Or Services, We Have Made Available To You.

Even If We Have Been Advised Of The Possibility Of Such Damages And Notwithstanding The Failure Of Essential Purpose Of Any Remedy. Technology Counter Private Limited’S Maximum Liability For All Claims Arising Out Of These Event Terms Or The Access, Use Or Inability To Access Or Use The Website, Applications, Event, Or Any Other Materials We Have Made Available To You Shall Not Exceed, In The Aggregate, The Amount You Have Paid To Us During The Six (6) Months Preceding The Date That A Claim Or Demand Is First Asserted.

If Your Access Or Use Of The Website, Applications, Event, Or Any Other Materials, Including, Without Limitation, Third-Party Materials, Products Or Services, We Have Made Available To You, Results In The Need For Servicing, Repair Or Correction Of Equipment Or Data, You Assume All Direct And Related Costs.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Technology Counter Private Limited, its affiliates, and their respective directors, officers, shareholders, owners, managers, members, past and present employees, contractors, volunteers, representatives, agents, affiliates, successors, and assigns (collectively referred to as "Releasees") from and against all actions, suits, claims, losses, liability, costs, and expenses, including attorney fees (collectively referred to as "Claims"), arising out of or in connection with:

(i) Your viewing, purchase, use, or participation in the Event, Website, and Applications, including without limitation all content and other materials made available to you;

(ii) Any content you submit to our Website, applications, or social media properties or tag us in on your social media profiles;

(iii) Your violation of these Event Terms.

This provision shall apply regardless of Releasees' negligence, if any. You acknowledge and agree that this indemnification is a fundamental part of your agreement to attend the event and use our services.

Admittance and Attendance Requirements:

1. Age Requirement: Each Registrant must be at least twenty-one (21) years of age or older.

2. Identification and Vaccination: For physical events, a valid photo ID (either a government-issued identification or driver’s license card or a passport) and a COVID-19 Vaccination Record Card showing full vaccination will be required upon arrival. These requirements are in addition to any additional health and safety guidelines we may have in place.

3. Bag and Container Checks: All packages, bags, and other containers are subject to search upon entry, and some items may need to be stored during the physical event for security purposes.

4. False Registration: Technology Counter Private Limited reserves the right to deny admittance to the Event to anyone who has registered under false or erroneous pretenses (e.g., using another attendee’s name, individuals who are underage, etc.). In such cases, any Event registration fees previously submitted for those registrations will be retained.

5. Discretionary Denial: Technology Counter Private Limited reserves the right to refuse or revoke Event registration and admission to any individual at its sole discretion.

6. Identity Verification:Registrants must verify their identity by using their real names when accessing a virtual event and wearing name badges at all times when onsite at a physical event. Registrants are prohibited from swapping, sharing, or loaning their badge or virtual Event access information to any other person(s). Please note that there is a INR 500 (excluding taxes) reprint fee for the replacement of any badges.

7. No Smoking: Smoking is strictly prohibited within the Event premises.

8. Venue Rules and Policies: Registrants are required to comply with the rules and policies of the virtual and/or physical Event venue at all times while on that venue’s premises or platform. Anyone who

is removed from the Event for any reason may be subject to arrest and may face both criminal charges and a civil lawsuit.

These requirements are in place to ensure the safety, integrity, and smooth operation of the B2BTECHX event. Attendees are expected to fully adhere to these guidelines and requirements to maintain a respectful and secure environment for all participants.

ACCESS TO EVENT

We cannot guarantee your admittance to any specific Event activity, as capacity and availability limits apply to both physical and virtual Events. For a virtual Event, we cannot guarantee the Event will be free from any kind of harmful interaction or interference, including but not limited to phishing, Zoom bombing, etc.

We reserve the right to refuse Event participation to or remove Event access from anyone we determine, in our sole discretion and without liability or refund, for the following reasons:

1. Health and Safety Risk: If an individual poses a health and safety risk to any person or entity at the Event.

2. Disruptive Behavior: If an individual has behaved or is behaving in a manner that may disrupt, hinder, or cause a nuisance to any person or entity at the Event.

3. Non-Compliance: If an individual fails to, threatens, or is otherwise likely to fail to comply with any of the following:

  • Our Health and Safety Guidelines.
  • Any instructions posted onsite at the Event.
  • Our Code of Conduct.
  • Our instructions not to record certain Event activities.
  • These Event Terms.
  • All laws, regulations, and rules (including additional rules and terms of Event venues and platforms) applicable to your participation in or access to the Event.

Please be aware that the decision to refuse admittance or remove access is at our sole discretion and may be enacted to ensure the safety, integrity, and smooth operation of the Event for all participants.

Agenda Changes; Postponement or Cancellation of Event

From time to time, we may make updates to the Event agenda, which may include cancellation of or changes to certain Event activities. While the Event speakers and agenda are confirmed at the time of publishing, there may be substitutions, alterations, or cancellations of the speakers or agenda due to circumstances beyond the control of Technology Counter Private Limited. Accordingly, we cannot and do not guarantee any specific speaker, performing artist, entertainment, or other component of the Event agenda.

We reserve the right to alter or modify the advertised speakers or agenda, and we will not refund registration fees, provide alternative compensation, or otherwise be liable to you based on these changes. Technology Counter Private Limited will take reasonable efforts to update our Website with any substitutions or alterations as soon as reasonably possible.

Technology Counter Private Limited is not responsible for any damage or loss as a result of alteration, substitution, delay, postponement, rescheduling, or cancellation of an Event. Technology Counter Private Limited will not be considered in breach of these Event Terms or otherwise liable to you, except as specifically provided in this provision, if an Event is delayed, canceled, rescheduled, or postponed, in whole or in part, as a result of:

  • Government-ordered closures of venues, services, and other spaces.
  • Government-issued shelter-in-place and quarantine orders.
  • Government and agency restrictions and recommendations placed on individuals and groups of individuals.
  • Any law or action taken by a government or public authority.
  • Health and travel restrictions.
  • Floods, fires, wars, epidemics, and pandemics
  • Illness, accidents.
  • Internet and third-party application connectivity issues.
  • Interruption or failure of utility service.
  • Electronic or communications failure.
  • Explosion, flood, drought, earthquake, or other natural disaster.
  • Terrorist attack, riots, civil war.
  • Loss of electricity.
  • Labor or trade dispute, strike, industrial action, or lockout.
  • Tsunami.
  • Nonperformance by service providers and subcontractors.
  • Delays caused by you.
  • Other impediments to/acts of God that could affect the performance, caused directly or indirectly by any event or circumstances outside Technology Counter Private Limited’s reasonable control.

If an Event is delayed, canceled, rescheduled, or postponed for these or any other reasons, your sole remedy shall be that we will provide you with access to the rescheduled Event or a similar replacement Event, such as virtual event access, at a later date to be determined by Technology Counter Private Limited. If an Event is delayed, canceled, rescheduled, or postponed, there will be no refunds provided. Technology Counter Private Limited will take reasonable efforts to notify you of any interruptions to the Event as soon as reasonably possible."

Permitted Use

You are not permitted to use this Website, our mobile app, or any of our other websites or applications other than for the following private, non-commercial purposes:

1. Viewing the Website.

2. Registering for a Technology Counter Private Limited Event.

3. Reviewing or changing your Event registration.

4. Transferring to other websites through links provided on this Website.

5. Making use of other facilities that may be provided on this Website.

The use of automated systems or software to extract data from this Website, our mobile app, or any of our other websites or applications for commercial purposes (e.g., scraping) is prohibited.

In the event you violate the terms of this Permitted Use section, you agree to pay Technology Counter Private Limited $1,00,000 within thirty (30) days after the violation. That amount is not a penalty but rather is the agreed-upon liquidated damages suffered as a result of your violation of this provision. You further agree this liquidated damages amount is a valid pre-estimate of damages Technology CounterPrivate Limited will sustain which will not be capable of precise determination.

Warranties

Technology Counter Private Limited Events, this Website, and any applications are provided 'As-Is' and 'As Available,' without warranty of any kind, express or implied. We make no guarantees as to uptime or availability of the event, this Website or any applications, and we do not warrant that our Events, this Website, or applications or any of their content or functionality will be error-free or uninterrupted or that defects will be corrected.

Registrant assumes all responsibility and risk for the use of the Website and/or attendance at or registration for the Event, including without limitation access to and use of Event venues and platforms and exposure to COVID-19. To the fullest extent permissible by applicable law, we shall have no responsibility or liability for any content or materials displayed or distributed as part of our Events or on our Website or applications, or any other resulting damage, including without limitation damage from virus attacks, internet congestion, and denial of service attacks.

We disclaim all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, noninfringement, or other violation of rights.

Transfer Of Ticket

No transfer of tickets is allowed for any type of registration. Access to our Event is for personal and non-commercial use only by the registrant of record and may not be shared or resold under any circumstances. We grant you a limited, non-exclusive, non-transferable, revocable right to access the Event and view the Event activities for the duration of the Event, subject to the limitations in this provision. Access may not be transferred except as provided in these Event Terms and authorized by Technology Counter Private Limited. Where there has been any sharing, resale, attempted sharing or resale, unauthorized transfer, or other breach of these Event Terms, we reserve the right to revoke your Event access immediately and without a refund or any further liability to you.

PHOTOGRAPHY WAIVER

By registering for and attending any virtual or physical events (“Event”) organized by Technology Counter Private Limited and its affiliates (“Technology Counter Private Limited,” “we,” “our”), you agree and acknowledge that we plan to take photographs and make audio and video recordings (collectively, “Recordings”) at the Event. Technology Counter Private Limited may use these assets in marketing materials and for promotional purposes, as determined in our discretion. By participating in the Event, you grant Technology Counter Private Limited the right to use and license use of your image, likeness, and voice in Recordings and all media, now or hereafter known, by whatever means exhibited, advertised, or otherwise exploited.

You hereby agree to:

(1) Release and Hold Harmless: Release and hold Technology Counter Private Limited harmless from any and all liability arising out of the use of the Recordings in any manner or media whatsoever.

(2) Waive Right to Inspection: Waive any right to inspect or approve the use of the Recordings.

(3) Waive Actions, Suits, or Claims: Waive any and all actions, suits, or claims relating to the use of the Recordings, including claims for invasion of privacy rights or publicity.

All assets and published materials are the property of Technology Counter Private Limited. Furthermore, Technology Counter Private Limited physical events are held in public spaces and virtual events are held on digital platforms; therefore, we do not prohibit (and cannot reasonably prevent) other registrants, exhibitors, sponsors, media organizations, or other companies from photographing or making audio or video recordings of Event activities.

Registration Confirmation and Scope of Terms

Upon submission of registration, the Registrant will receive a confirmation of the registration, provided the registration has been accepted. Additional rules may apply from the physical Event venue(s) and/or digital platform used for the virtual Event venue(s). Nothing in these Event Terms is designed to censor anyone’s speech or conduct on public property.

Limitations on Your Recordings

Technology Counter Private Limited reserves the right to take necessary actions to regulate audio or video recordings and/or transmissions of the Event or any of its portions, as well as the taking of photographs during the Event. This includes the authority to:

(1) Limit, restrict, or prohibit the use of audio or video recording devices and/or the taking of photographs during the Event.

(2) Remove any individual found conducting unauthorized recordings or photography.

Any person who engages in unauthorized recordings or photography after receiving notification from Technology Counter Private Limited that such activities are limited, restricted, or prohibited agrees to the following terms:

(a) Transfer ownership of all unauthorized recordings of the Event (e.g., tape, CD, or any other medium) to Technology Counter Private Limited or its assigns.

(b) Comply with requests to hand over all copies of such unauthorized recordings to Technology Counter Private Limited before leaving the Event.

(c) Authorize the use of any unauthorized recordings of the Event by Technology Counter Private Limited and/or its assigns for any purpose.

(d) Confirm and warrant that any attendees and other individuals appearing in such photos and videos have also provided their consent for such use.

For virtual Events, attendees are permitted to take screenshots of Event activities for personal use. However, these screenshots may include content or material protected by copyrights, trademarks, or other rights owned or licensed by Technology Counter Private Limited. Therefore, copying, reproducing, publishing, or distributing the screenshots or creating audio or video recordings of Event activities without prior written permission from Technology Counter Private Limited is strictly prohibited.

For physical Events, attendees will be informed of restrictions on recording or photographing Event activities through signage at the entry, announcements at the commencement of the Event activity, notifications through the Event platform, or registration forms for specific Event activities.

Attendees are encouraged to share screenshots and "snippet" recordings on their social media channels, provided they adhere to the following conditions:

  • Use the official event hashtag.
  • Tag Technology Counter Private Limited and any relevant sponsors.
  • Keep the clips under one minute in length.

Live streaming and posting images or recordings of Event activities that have been designated as non-recordable by Technology Counter Private Limited is not permitted. Attendees agree not to use any permitted recordings for commercial purposes, to deceive or disparage, to imply ownership of the recording content, to suggest endorsement by Technology Counter Private Limited, or in violation of applicable laws or the Event's Code of Conduct. Attendees further commit to complying with any requests made by Technology Counter Private Limited to refrain from recording specific Event activities and to discontinue the use of recordings, including the removal of any previous social media posts containing such recordings.

CODE OF CONDUCT- HARASSMENT

Technology Counter Private Limited is committed to fostering an inclusive and harassment-free environment for everyone, regardless of their gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, national origin, religion (or lack thereof), or technology preferences. We have a zero-tolerance policy for harassment within our community and at our Events.

Harassment includes, but is not limited to, any unwelcome behavior, comments, or actions based on personal attributes mentioned above. Sexual or discriminatory language, imagery, or conduct is strictly prohibited, whether it occurs in personal interactions, presentations, workshops, social gatherings, or on online platforms such as Twitter, Zoom, and others.

Participants who engage in behavior that violates these rules may face sanctions or expulsion from our Events or venues, at the sole discretion of our staff, and without the possibility of a refund. We are dedicated to maintaining a safe and respectful atmosphere for all attendees.

If you witness or experience any form of harassment or have concerns about the conduct of others, please promptly report it to our team. We take all reports seriously and will take appropriate action to address the issue.

Authorization for Recordings by Technology Counter Private Limited and Event Sponsors

Technology Counter Private Limited, Event sponsors, and other authorized third parties may, from time to time, capture photographs and videos during the Event. These visual recordings may be utilized in various formats and mediums for promotional purposes or may be disseminated by third parties, including online postings on third-party or Technology Counter Private Limited websites. By participating or attending the Event, each Registrant acknowledges that they may appear in these photographs and videos. Additionally, each Registrant authorizes and agrees to hold Technology Counter Private Limited harmless from any liabilities arising from their use in this manner.

It is important to note that the views expressed by any Event attendee, speaker, exhibitor, or sponsor do not necessarily represent the opinions or views of Technology Counter Private Limited or its affiliates. All Event attendees, speakers, exhibitors, and sponsors bear sole responsibility for the content of their individual or corporate presentations, marketing materials, advertisements, and online web content.

Third Party Links and Content

"Our Website, mobile app, or any of our other websites or applications may contain links to other websites that are owned and operated by third parties and to content provided by third-party service providers, event sponsors, and other event registrants, including videos, images, descriptions, links, and other content. We have no control over third-party websites or content, and we are not responsible for the availability of or materials provided on or through those third-party websites or content. We do not make any representations regarding the accuracy of any third-party websites or content. We are not responsible or liable for damages or losses arising from third-party sites or content, and we recommend you review their applicable terms and conditions, as well as their privacy policies if you choose to engage with those sites or content. You agree to assume all responsibility for your decision to enter into any transaction or other relationship with those third parties."

17. GOVERNING LAW

These Event Terms and any Claims arising out of or in connection with these Event Terms or the Website, applications, or Event, including without limitation any Claims that might arise between Registrant and Technology Counter Private Limited ("Claim") shall be governed by and construed in accordance with the laws of the State of Maharashtra, India, without regard to its conflict of law provisions. Any matter involving interpretation or enforcement of these Event Terms shall be brought in the state or courts in Pune, Maharashtra, India. By purchasing, using, viewing, or participating in the Website, applications, or Event, you agree to accept the exclusive personal jurisdiction in and exclusive venue of those courts. We shall be entitled to recover our attorneys’ fees and costs in enforcing our rights under these Event Terms, whether we choose to enforce our rights through negotiation, mediation, arbitration, or litigation.

NOTICES

Any notices to you regarding these Event Terms will be provided by email using the contact information last provided by you. Notice will be deemed given one (1) business day after email transmission from us, or two (2) business days after the date of posting on our website or elsewhere, as may be appropriate under the circumstances or otherwise required by law. WAIVER

Failure by either party to enforce any provision in these Event Terms is not a waiver of future enforcement of that or any other provision. Severability; Entire Agreement

In the event that any portion of these Event Terms is declared invalid, illegal, or unenforceable for any reason, the remaining portions of these Terms shall remain in full force and effect. 2. No Commercials: We strictly prohibit sessions that serve as advertisements for a vendor's product or services. A speaker's product should only be mentioned in the context of providing actionable insights to support and guide the next generation of founders. Commercial content will not be accepted.

3. Advance Content Submission: It is mandatory for speakers to submit their content well ahead of time for review. Content that is deemed to be a vendor commercial or in violation of our guidelines will be rejected.

4. Fresh Perspectives: We believe in maintaining fresh perspectives at B2BTECHX. To ensure this, we require that the topic you present is entirely new and has not been presented at any other event. We encourage innovative and forward-thinking ideas that will inspire and educate our audience.
